Introduction

NetDocuments is a cloud document and email management system (DMS) built for law firms and corporate legal departments, in production since 1999. Clearlake Capital acquired majority ownership in 2017, and Warburg Pincus took over as majority owner via a strategic investment in 2021. In January 2026, NetDocuments acquired the eDOCS document-management business from OpenText, adding its customer base. Rather than being an AI-first product, NetDocuments has layered generative AI on top of its long-established document repository through a suite called ndMAX, giving firms an AI assistant that works directly against the documents, emails, and matter files they already store in the platform.

Document Drafting & Contract Analysis

ndMAX Assist lets users ask natural-language questions about documents, generate summaries, and draft responses or revisions using firm work product as context. ndMAX Studio ships more than 25 ready-to-use AI apps covering use cases such as judge analytics, contract playbooks, startup formation packets, patent prosecution support, and large-scale document profiling. Two flagship modules stand out for transactional and diligence work: ndMAX Reviewer, which summarizes large document sets for due diligence, and ndMAX Drafter, which generates contract clauses; these sit alongside PatternBuilder, a no-code workflow automation tool, and ndThread, a matter-based chat layer for teams.
